Chepenik:
Before I began to pursue estate planning, probate, and trust administration as part of my firm’s core business, I spent seven (7) years with Arthur Andersen LLP in that firm’s tax department after receiving a special master of laws degree, an LL.M., in taxation from the University of Miami. So, for over fourteen (14) years, I have focused on assisting individuals and business entities (corporations, partnerships, and limited liability companies) in the formation, development, and security of their businesses.
Typically, our relationship begins with assisting you with the decision of how your business entity should be structured, usually the choice of a sole proprietorship, corporation, partnership, trust, or limited liability company.
Once you make your entity selection, the real work begins. I will not only assist in the formation of that profit or not-for-profit entity with the proper state and federal government agencies, but also, I will prepare all of the documents you need to begin doing business with your partners, employees, independent contractors, vendors, private lenders, institutional lenders, franchisees, joint venturers, and/or investment groups. The documents include:
- Shareholder Agreements, Partnership Agreements, and LLC Operating Agreements
- Buy-Sell Agreements
- Corporate Redemption Agreements
- All Corporate Governance Documents (Minutes, Resolutions, Consents)
- Employment Agreements and Independent Contractor Agreements
- Disassociation Agreements
- Asset Purchase Agreements, Stock Purchase Agreements, and Plans of Merger/Merger Agreements
From formation to dissolution, Chepenik Trushin LLP possesses the depth of experience you need to plan for and achieve success. No issue is too complex, including issues regarding business tax and succession planning, the purchase and/or sale of all or a portion of your business, mergers and acquisitions, equity or debt offerings, negotiating and drafting important business contracts, and the wind-up and dissolution of your business.
